TEAMING AGREEMENT

This Teaming Agreement (the "Agreement") is made and entered into effective this day [Date], (the "Effective Date") between [Your Name], a corporation organized and existing under the laws of [Your Company Name] (the "Prime Contractor"), and [Subcontractor's Name], a corporation organized and existing under the laws of [Subcontractor's Company Name] (the "Subcontractor").

I. PURPOSE OF THE AGREEMENT

This Agreement is intended to facilitate collaboration between the Prime Contractor and Subcontractor. Both parties aim to combine their resources, expertise, and capabilities to achieve a common objective such as securing a contract, finalizing a project, or creating a new product. Both parties agree to act faithfully and diligently to maintain the spirit of this Agreement.

II. SCOPE OF WORK

The Subcontractor shall assume the responsibility of providing the necessary goods or services according to the terms specified within the formalized agreement. Delivering these goods or services ultimately facilitates the Prime Contractor to meet and adhere to its agreed contractual obligations effectively. It is important to note that the exact nature of the work that the Subcontractor would be expected to undertake, including the scope of the assigned workload, is explicitly determined and clarified within the said agreement. In addition to this, stipulated deadlines and key milestones to be achieved throughout the contract are also mutually agreed upon between the Prime Contractor and the Subcontractor, and these details form an integral part of their professional agreement.

III. RISK MANAGEMENT AND ROLES

Effective risk management is paramount in ensuring the success of this agreement. Each Party acknowledges the importance of clearly defining its roles, responsibilities, and contributions to mitigate potential risks and foster a harmonious collaboration. Below are detailed descriptions of the risk management strategies and roles assumed by each Party:

Party A:

Role: Party A, referred to as the "Prime Contractor," assumes the primary responsibility for project oversight, coordination, and delivery.

  • Collaborate with Party B to address any challenges or issues encountered during project execution.

  Party B:

  Role: Party B, referred to as the "Subcontractor," plays a crucial role in providing specialized services, expertise, or resources necessary for project completion.

  Responsibilities:

  • Execute tasks and deliverables assigned by Party A according to the agreed-upon specifications.
  • Contribute specialized knowledge, skills, or technology to enhance project outcomes.
  • Adhere to project timelines and quality standards set by Party A.
  • Communicate effectively with Party A regarding project progress, challenges, and potential risks. Contributions:
  • Provide specialized services, such as technical expertise, research capabilities, or specific technologies.
  • Offer insights and recommendations to mitigate risks associated with their area of expertise.
  • Collaborate with Party A to identify and address potential risks or issues that may arise during project execution.

  IV. LEGAL PROTECTION AND DISPUTE RESOLUTION

  This Agreement outlines the legal rights and responsibilities of each party and provides a framework for their collaboration. It covers key aspects such as Intellectual Property Rights, Confidentiality, and Indemnification against potential risks, thereby protecting the interests of all parties involved. It also presents a mechanism for dispute resolution, should any disagreement arise from this agreement.

  V. TERM AND TERMINATION

  The duration of this Agreement is set to commence starting from the Effective Date as specified in the contract, and it shall remain operative and enforceable until such time as either participating party decides to discontinue their involvement in the Agreement by providing formal written notice declaring their intent to do so. In the event of a termination initiated by either party, the established protocol involves the settling of any outstanding financial accounts by both parties. Every aspect of their existing business relationship that is affiliated with this agreement will be effectively dissolved and they will exit the partnership established by this Agreement.
